Frametek – Terms & Conditions

These Terms & Conditions apply to building, renovation, installation, project management and associated services supplied by Frametek (“we”, “us” or “our”).
They should be read alongside the individual quotation, proposal, specification and payment schedule issued for each project.
Where there is any conflict between these Terms & Conditions and a specific written quotation or contract, the specific written quotation or contract will take precedence.

2. Quotations and Estimates
Unless expressly stated otherwise, quotations are based on the information, drawings, measurements, photographs and site conditions available to us at the time of preparation.
A quotation will normally identify the proposed scope of works, inclusions, exclusions and price.
Any indicative price provided through the Frametek Project Estimator, website, telephone conversation or initial enquiry is an estimate only and does not constitute a binding quotation or offer.
A final price may be subject to:

Site survey and verification of dimensions

Final drawings and specifications
-
Structural requirements
-
Ground or existing building conditions
-
Planning or Building Control requirements
-
Client selections
-
Provisional sums or allowances identified within the quotation
-
Variations requested after acceptance
-
Previously concealed or unforeseen conditions
Any material change affecting the agreed price will be communicated to the customer as soon as reasonably practicable.
3. Acceptance of a Quotation
A contract is formed when the customer accepts our quotation or proposal in the manner requested by Frametek.
Acceptance may include written confirmation, electronic acceptance or payment of an agreed deposit where the quotation states that payment constitutes acceptance.
The accepted quotation, specification, drawings, agreed variations and these Terms & Conditions together form the agreement between Frametek and the customer.
4. Deposits
A deposit may be required before a project start date is secured, materials are ordered or work begins.
The amount and due date will be stated within the quotation or proposal.
Deposits may be used towards project preparation, administration, procurement, specially ordered materials and allocation of labour and subcontractors.
If a customer cancels a project, any deduction made from money already paid will be limited to amounts Frametek is legally entitled to retain, including reasonable costs and losses actually incurred.
Nothing within these Terms affects a consumer's statutory cancellation rights.
5. Payment
The payment schedule for each project will be stated within the quotation, proposal or contract.
Depending on the project, this may include:

Initial deposit

Stage payments
-
Payments following completion of defined stages
-
Final payment on completion
Invoices must be paid by the due date shown.
The customer should raise any genuine invoice dispute promptly and identify the amount and reason being disputed.
Any undisputed amount remains payable in accordance with the agreed payment terms.
We reserve the right to suspend work following reasonable notice where an overdue payment remains unpaid, provided doing so is lawful and reasonable in the circumstances.
For business-to-business contracts, statutory interest and compensation may apply to qualifying late commercial payments.
6. Variations and Additional Works
The agreed price covers the scope specifically included within the accepted quotation or specification.
Work requested outside that scope will be treated as a variation.
Where reasonably practicable, Frametek will provide the additional price or pricing basis before carrying out variation work.
Variations may affect both the contract price and anticipated completion date.
Emergency, safety-critical or immediately necessary work may occasionally need to be undertaken before a complete price can reasonably be established. Where this occurs, we will inform the customer as soon as practicable.
7. Unforeseen Conditions
Building and renovation work can reveal conditions which could not reasonably have been identified before work commenced.
Examples include:

Concealed structural defects

Rotten or damaged timber
-
Inadequate existing foundations
-
Unexpected underground services
-
Defective plumbing or electrical installations
-
Asbestos or potentially hazardous materials
-
Unforeseen drainage issues
-
Hidden damp or water damage
-
Non-compliant previous building work
-
Differences between drawings and the existing structure
Such work is not automatically included within the original quotation unless specifically stated.
We will explain any significant issue discovered and, where appropriate, provide a variation before additional work proceeds.
8. Project Programme and Completion Dates
Any proposed start date, duration or completion date is given in good faith based on the information available at the time.
Construction programmes can be affected by circumstances including:

Adverse weather
-
Material shortages or delayed deliveries
-
Manufacturer delays
-
Changes requested by the customer
-
Unforeseen site conditions
-
Planning or Building Control matters
-
Structural design changes
-
Utility companies
-
Third-party contractors
-
Access restrictions
-
Illness or events outside our reasonable control
We will make reasonable efforts to minimise disruption and keep the customer informed of significant delays.
Unless expressly agreed otherwise in writing, programme dates are estimates rather than guaranteed completion dates.
This does not affect any statutory right requiring services to be completed within an agreed or reasonable time.
9. Customer Responsibilities
The customer must provide reasonable access to the property and working areas at agreed times.
Unless included within our quotation, the customer is responsible for providing or arranging:

Accurate information about the property

Details of known underground or concealed services
-
Appropriate permissions from the property owner
-
Party Wall matters where applicable
-
Planning permission where applicable
-
Building Regulation approvals where allocated to the customer
-
Suitable access for deliveries, plant and personnel
-
Reasonable access to electricity and water where required
Responsibility for professional design, structural calculations, Planning and Building Control applications should be stated within the individual project proposal.
10. Planning Permission and Building Regulations
Where Frametek has specifically agreed to arrange drawings, structural calculations, Planning applications or Building Control applications, the extent of that service will be detailed within the quotation.
We cannot guarantee that a planning authority, Building Control body, structural engineer or other third party will approve a particular proposal.
Fees charged by councils, Building Control bodies, engineers or other consultants are only included where expressly stated.
11. Construction Design and Management
Projects will be managed in accordance with applicable health and safety legislation, including the Construction (Design and Management) Regulations 2015 where relevant.
Nothing within these Terms removes or transfers any responsibility which legislation places upon Frametek, the customer, designers, contractors or other duty holders.
12. Materials
Materials will be of the type and specification stated within the quotation wherever reasonably available.
Natural and manufactured building materials may display reasonable variations in:

Colour
-
Texture
-
Grain
-
Pattern
-
Dimensions
-
Finish
Examples include timber, bricks, brick slips, tiles, stone and decorative products.
Where an exact product becomes unavailable, we will discuss any proposed alternative with the customer before making a significant substitution.
13. Customer-Supplied Materials
Where the customer supplies materials, fixtures or products, Frametek is not responsible for manufacturing defects, incorrect quantities, incorrect specifications or delays caused by those products.
Additional labour or return visits caused by unsuitable, incomplete, damaged or late customer-supplied products may be chargeable where appropriate.
14. Subcontractors
Frametek may use appropriately skilled subcontractors and specialist trades to carry out parts of the works.
Where those subcontractors have been appointed by Frametek as part of our contracted works, Frametek remains responsible for managing our contractual obligations to the customer.
15. Site Access and Working Environment
The customer should ensure that reasonable access to the agreed work area is available.
Construction work inevitably creates some noise, dust, vibration and temporary disruption.
We will take reasonable precautions to protect the property and minimise unnecessary disruption, but customers should remove or protect valuable, fragile or personal items from working areas before work commences.
16. Existing Property and Services
We will exercise reasonable care when working around existing buildings and services.
However, we cannot accept responsibility for defects, failures or damage arising from pre-existing defective installations, structures or components that could not reasonably have been identified before work commenced.
Where such a condition becomes apparent, we will notify the customer.
17. Completion and Snagging
On substantial completion, the customer should identify any reasonable snagging items or concerns as soon as practicable.
Legitimate defects relating to Frametek's workmanship will be investigated and, where Frametek is responsible, rectified within a reasonable period.
Minor snagging items that do not prevent reasonable use of the completed works will normally be dealt with as part of the completion process.
18. Warranties and Manufacturer Guarantees
Any specific Frametek workmanship warranty applicable to a project will be stated within the customer's quotation, proposal or completion documentation.
Manufacturer warranties for products and materials remain subject to the relevant manufacturer's terms.
Nothing in these Terms limits the customer's statutory rights.
19. Cancellation Rights for Consumers
Where a consumer contract is entered into online, by telephone or away from Frametek's business premises, the customer may have a statutory right to cancel the contract.
Where applicable, the standard cancellation period is 14 days.
If the customer asks Frametek to begin services during a statutory cancellation period, we may require an express written request before starting work.
If work has commenced at the customer's request and the customer subsequently exercises a lawful cancellation right, the customer may be required to pay an amount proportionate to services properly supplied before cancellation.
Certain goods made to a customer's specification or clearly personalised may be excluded from the statutory cancellation right where legislation permits.
These provisions do not restrict any cancellation rights provided by law.
20. Cancellation After the Statutory Cancellation Period
If the customer wishes to cancel after any statutory cancellation period has expired, they should notify Frametek in writing as soon as possible.
The customer will be responsible only for amounts Frametek is lawfully entitled to recover, which may include:

Work already completed
-
Materials already supplied
-
Non-returnable or specially ordered materials
-
Reasonable committed third-party costs
-
Other reasonable losses directly resulting from cancellation
Frametek will take reasonable steps to minimise avoidable losses.
21. Suspension or Termination by Frametek
We may suspend or terminate the works where there is a serious reason to do so, including:

Significant overdue payment
-
Unsafe working conditions
-
Persistent prevention of reasonable site access
-
Serious breach of the agreement
-
Abusive or threatening behaviour towards our workforce
-
Circumstances making continued work unlawful
Where reasonably possible, the customer will be notified and given an opportunity to remedy the issue before the contract is terminated.
22. Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Nothing in these Terms excludes or restricts a consumer's statutory rights.
Frametek will not be responsible for losses caused by matters outside our reasonable control or by information, designs, products or works supplied by the customer or independent third parties, except where Frametek is legally responsible.
23. Consumer Rights
For customers acting as consumers, Frametek will provide services with reasonable care and skill in accordance with applicable consumer legislation.
Nothing contained within these Terms is intended to reduce or remove rights provided by the Consumer Rights Act 2015 or other applicable consumer protection legislation.
24. Complaints
If a customer has a concern about our work, they should contact Frametek as soon as reasonably possible so that we have an opportunity to investigate and resolve the matter.

We will aim to deal with complaints fairly and within a reasonable period.
25. Events Outside Our Reasonable Control
Neither party will be responsible for delay or failure caused by circumstances outside their reasonable control.
This may include severe weather, fire, flooding, supply-chain disruption, strikes, utility failure, government restrictions or other exceptional events.
The affected party should notify the other as soon as reasonably practicable.
26. Privacy and Personal Information
Personal information will be handled in accordance with the Frametek Privacy Policy and applicable UK data protection legislation.
Our Privacy Policy is available separately on the Frametek website.
27. Website Information
Information, photographs, descriptions, specifications, indicative prices and project examples shown on the Frametek website are provided for general information.
Every property and project is different.
Website content and the Frametek Project Estimator must not be treated as a final construction quotation, structural design, professional advice or confirmation that planning permission or Building Regulations approval will be granted.
28. Changes to These Terms
Frametek may update these Terms & Conditions from time to time.
Changes will not retrospectively alter an existing accepted contract unless both parties agree to the change or the law requires it.
The version applicable to a project will normally be the version in force when the customer's contract is accepted.
29. Governing Law
These Terms and any contract between Frametek and the customer will be governed by the laws of England and Wales.
Consumers retain any rights they have regarding where legal proceedings may be brought.
30. Entire Agreement
The accepted quotation, project specification, agreed drawings, written variations and these Terms & Conditions together constitute the agreement for the works.
Nothing in this clause excludes liability for fraud or prevents a consumer from relying on statutory rights or information which the law requires to form part of the contract.
